 Official records of the business or service discussed at a meeting are called minutes. These are recorded by a person in the organization.

Why are the minutes?


 For a public limited company, minutes should be recorded and it is a legal requirement. Small scale and voluntary organizations are also recording minutes of every meeting for reference to past achievements and to take future actions based on them.

How important are minutes?


These minutes are approved by management and higher officials in any organization. They are considered very essential to execute immediately.

 What are the features of minutes?


 These minutes are always a matter of fact. There is no room for personal emotions and feelings.  Minutes contain the essence of the meeting.

How should be it done?


Minutes are written only after the meeting is over. It is always better to check the accuracy of the pointers with the management or any other member of the organization.

 What is the structure of minutes?


A heading is given to each pointer of the meeting or discussion. The names of the proposals can be mentioned. Sometimes it is highlighted with the tag of accepted or rejected.

What things should you consider to prepare minutes?


  • Name of the company or organization
  • Day, date, time and place of the meeting
  • Names of the management and members
  • Names of members present and names of members absent
  • Names of other persons by  special invitation (if any)
  • Decisions are taken in the meeting
  • Signature of the management and secretary

What are the steps to follow in writing minutes?


  • Summing up the meeting to cover all the details.
  • Try to use short forms and abbreviations to group the meaning meeting out of it.
  • For reference, it is better to record the names of all participants (speakers).
  • Get the signatures of the members present in the meeting.
  • Essential details such as numbers, quantities, amounts etcetera must be recorded carefully.
  • If a resolution is considered to implement record the proposer, seconder and number of members to vote for and the number of the members against it.
  • Record only decisions, assignments and actions.
  • Write at the same time throughout.
  • Avoid personal observations.
  • Agenda.
  • The due date for action plants.

Minutes of the fourth meeting of the Group of Directors Committee held at 10 a.m., on Friday, 12 February 2021  at Veda Mansion.

4,01 Chairmans Report
Shri. V.S. Murthy reported on the Company's sales target. He began with a data from previous sales performance of the company. He briefed all the issues of the company. Also introduced the new products sales team under Shri. Varma who has a team of ten members for sales performance.

4.02 Announcements
The Chairman introduced a new product of the company. He hoped that the new product would  definitely help to increase company's assets and profits. The Chair pleased to inform to establish a new branch in the west part of the country. In order to meet this the company wished to reduce its travel budget by 30 percent. It was proposed that the next meeting would be in the month of August 2022.The resolution was accepted after a heat argument between the Chairman and other board members.


4.03 Minutes of the previous meeting
The minutes of the meeting held on 15 December 2020 were approved and signed by the Chairman without any changes.

4.04 Canteen establishment
 The proposal to construct the canteen was received and approved. The suggestion of Shri. B. Naren to serve lunch for the employees was accepted. Shri.V.Shubham was assigned to finish the establishment of the canteen as an additional responsibility.

4.05 Celebration of Annual Day of company
It was decided to organize an Annual Day Ceremony at 5 p.m. on 28 April 2021 and many rupees 50,000 was granted for the purpose. Shri. N.Karunakar was assigned to organize the event.

4.06 Request for donation
A resolution to request the management of the Company for a  recurring donation of rupees 50,000 per annum moved by the Chair was unanimously adopted.
4.07 Adjournment
The meeting adjourned at 6:00 P.M.
As no other issue was raised, the meeting ended with a vote of thanks to the Chair.

These minutes of the meeting will be considered by the Chairman and the Board of Directors at its next meeting. If any corrections or notations will be incorporated in the minutes of that meeting.
